1. Agreement to Terms

By accessing or using the SR&ED Directory website at sred-directory.ca ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service.

These Terms apply to all visitors, users, and others who access or use the Service, including businesses searching for consultants ("Users") and SR&ED consulting firms with listings ("Consultants").

2. Description of Service

SR&ED Directory is an online platform that connects Canadian businesses with SR&ED (Scientific Research and Experimental Development) tax credit consultants. We provide:

A searchable directory of SR&ED consulting firms
Firm profiles with contact information and services
Educational resources about SR&ED tax credits
Listing services for consulting firms
Display of reviews and ratings from third-party sources (such as Google Business Profiles)

We are a directory and referral service only. We do not provide SR&ED consulting services, tax advice, or guarantee the quality of any listed consultant's services.

2a. Third-Party Review Content (Google Reviews)

Our Service may display reviews and ratings from Google Business Profiles ("Third-Party Reviews"). By using our Service, you acknowledge and agree to the following:

Third-Party Reviews are provided by Google and sourced via Google's official APIs
Third-Party Reviews are the opinions and experiences of reviewers and do not represent endorsement by SR&ED Directory
SR&ED Directory does not verify, modify, or endorse Third-Party Reviews
SR&ED Directory is not responsible for the accuracy, legality, or appropriateness of Third-Party Reviews
By viewing this site, you also agree to be bound by Google's Terms of Service as applicable to the display of Google content

Dispute Resolution for Third-Party Reviews

If you believe a Third-Party Review is inaccurate, defamatory, or violates your rights, you may:

Report the review directly to Google using Google's reporting tools
Contact us through our contact form with details of the concern, and we may temporarily remove the review from our display pending investigation

SR&ED Directory reserves the right to remove Third-Party Reviews from our display at our sole discretion, without liability.

3. User Accounts

When you create an account with us, you must provide accurate, complete, and current information. Failure to do so constitutes a breach of these Terms.

You are responsible for:

Maintaining the security of your email-based login credentials
All activities that occur under your account
Notifying us immediately of any unauthorized use

You may not use another user's account without permission. We reserve the right to refuse service, terminate accounts, or remove content at our sole discretion.

4. Consultant Listings

Listing Guidelines

Consultants with listings in our directory agree to:

Provide accurate and truthful information about their firm
Keep contact information and services up to date
Represent only legitimate SR&ED consulting businesses
Not impersonate other businesses or individuals
Comply with all applicable laws and regulations

Claiming a Listing

Some listings may be created by us using publicly available information. If you represent a listed firm, you may claim and verify your listing by providing proof of authority to act on behalf of that business.

Prohibited Content

Listings may not contain:

False or misleading information
Defamatory, harassing, or threatening content
Content that infringes intellectual property rights
Spam, advertising for unrelated services, or malware
Illegal content or content promoting illegal activities

5. Subscription Plans and Payment

Paid Subscriptions

We offer paid subscription plans (Professional and Premium) with additional features. By subscribing to a paid plan, you agree to pay the applicable fees.

Billing

Subscriptions are billed monthly in advance
Payment is processed through Stripe
Prices are in Canadian dollars unless otherwise stated
You authorize us to charge your payment method on a recurring basis

Cancellation

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of your current billing period. No refunds are provided for partial months.

Price Changes

We reserve the right to modify subscription prices. We will provide at least 30 days' notice of any price changes. Your continued use of the Service after the price change constitutes acceptance.

Refund Policy

We offer a 14-day money-back guarantee for new paid subscriptions. To request a refund, contact us within 14 days of your initial purchase. Refunds are not available for renewals.

6. Intellectual Property

The Service and its original content (excluding content provided by users), features, and functionality are owned by SR&ED Directory and are protected by copyright, trademark, and other intellectual property laws.

You retain ownership of content you submit to the Service. By submitting content, you grant us a non-exclusive, worldwide, royalty-free license to use, reproduce, and display that content in connection with the Service.

7. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

Warranties of merchantability or fitness for a particular purpose
Warranties regarding the accuracy of consultant information
Warranties regarding the quality of services provided by listed consultants
Warranties that the Service will be uninterrupted or error-free

We do not endorse, guarantee, or assume responsibility for any consultant listed in our directory. Users are solely responsible for evaluating and selecting consultants.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SR&ED DIRECTORY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

Loss of profits, revenue, or business opportunities
Loss of data or goodwill
Damages resulting from your use of or inability to use the Service
Damages resulting from any consultant's services or conduct
Any other intangible losses

Our total liability for any claims arising from these Terms or the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

9. Indemnification

You agree to defend, indemnify, and hold harmless SR&ED Directory and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including attorneys' fees) arising from:

Your use of the Service
Your violation of these Terms
Your violation of any third-party rights
Content you submit to the Service

10. User Conduct

You agree not to:

Use the Service for any unlawful purpose
Harass, abuse, or harm other users or consultants
Attempt to gain unauthorized access to any part of the Service
Interfere with or disrupt the Service or servers
Use automated systems to access the Service without permission
Collect user information without consent
Post false reviews or testimonials
Manipulate search rankings or listings

11. Testimonials and Reviews

Consultants may receive testimonials and reviews from clients. By submitting a review, you represent that:

You have actual experience with the consultant
Your review is honest and accurate
You have no conflict of interest
You grant us the right to publish the review

We reserve the right to moderate, edit, or remove reviews that violate these Terms or our guidelines.

12. Third-Party Links

The Service may contain links to third-party websites or services that are not owned or controlled by SR&ED Directory. We have no control over and assume no responsibility for the content, privacy policies, or practices of any third-party sites.

13. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice, for any reason, including breach of these Terms.

Upon termination:

Your right to use the Service will immediately cease
Your listing may be removed or reverted to unclaimed status
We may delete your account data (subject to our Privacy Policy)
Provisions that should survive termination will remain in effect

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Province of Alberta, Canada, without regard to its conflict of law provisions. Any disputes arising from these Terms or the Service shall be resolved in the courts of Alberta, Canada.

15. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on this page and updating the "Last updated" date.

Your continued use of the Service after any changes constitutes acceptance of the new Terms. If you do not agree to the modified Terms, you must stop using the Service.

16. Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will continue in full force and effect.

17. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and SR&ED Directory regarding the Service and supersede any prior agreements.
